Distance Sales Agreement

This Distance Sales Agreement ("Agreement") is concluded between the parties identified below in electronic form, in accordance with Turkish Consumer Protection Law No. 6502 ("TKHK") and the Distance Contracts Regulation.
1. Parties
1.1 Seller

1.2 Buyer (Consumer)
The information provided at the time of registration and payment — name, email, billing address, and payment instrument.
(hereinafter "Consumer")
The Seller and the Consumer are referred to collectively as the "Parties".
2. Subject of the Agreement
This Agreement governs the sale and delivery of digital subscription services on the datagreat.com platform that the Consumer orders electronically, and the rights and obligations of the Parties.
The Pre-Contract Information Form approved before purchase, the Terms of Service, the Privacy Policy, and the Personal Data Processing Notice (KVKK) form an integral part of this Agreement.
3. Service Description and Price

The current tier list and pricing are published at datagreat.com/pricing and form an annex to this Agreement, frozen at the prevailing version on the activation date.
4. Taxes and Additional Charges
- Listed prices are in US Dollars and may be charged in Turkish Lira at the prevailing exchange rate.
- VAT and other applicable taxes are calculated separately and shown on the invoice.
- Some tiers permit overage on the monthly report quota:
- Researcher: $5 per additional report
- Analyst: $3 per additional report
- Agency: $2 per additional report
- Institute: included
- AI tool quotas (Persona, Brief, Crisis Simulator) cannot be exceeded; the relevant feature pauses until the next billing cycle.
5. Performance and Access
- The Service is performed instantly in electronic form upon payment confirmation.
- The Consumer obtains access to the platform immediately and may use the features included in the selected tier.
- No physical shipment, courier, or logistics process is involved.
6. Right of Withdrawal and the Statutory Exception
Article 9 of the Turkish Distance Contracts Regulation provides consumers with a fourteen (14) day right of withdrawal without giving any reason.
However, Article 15(1)(ğ) of that Regulation excludes "services performed instantly in electronic environment or intangible goods delivered to the consumer instantly".
The DataGreat service falls within this exception. By approving this Agreement and the Pre-Contract Information Form, the Consumer expressly declares:
"I request that performance of the Agreement begin immediately upon confirmation of my payment, and I expressly waive my right of withdrawal."
This declaration is collected by a separate checkbox at checkout.
Notwithstanding the statutory exception, in favour of the Consumer the Parties further agree:
- Monthly subscriptions may be cancelled at any time; cancellation takes effect from the next billing period; no pro-rata refund is made for the period in progress;
- Annual subscriptions are not pro-rated upon cancellation; access continues until the end of the period;
- Where the Service cannot be performed due to mis-charging or technical fault, the Seller will issue a pro-rata refund or credit.
7. Rights and Obligations of the Parties
7.1 Seller
- Perform the Service in line with the description above and the Pre-Contract Information Form;
- Deliver the features promised for the selected tier;
- On termination, delete or anonymise the Consumer's data within the retention periods set out in the Privacy Policy;
- Comply with KVKK and other applicable data-protection legislation;
- Notify Consumers of material changes to the Service at least fourteen (14) days in advance.
7.2 Consumer
- Provide accurate registration information and keep it current;
- Maintain the security of the account and the confidentiality of the password;
- Use the Service in accordance with the Terms of Service at https://datagreat.com/legal/terms and applicable law;
- Pay the agreed fees on time;
- Where the Consumer uploads personal data of third parties, ensure that the lawful basis and notice obligations have been satisfied by the Consumer.
8. Termination
- The Consumer may cancel the subscription at any time; cancellation takes effect from the next billing period and no refund is made for the period already paid.
- The Seller may terminate the subscription with or without notice upon material breach of this Agreement or the Terms of Service, non-payment, abuse, or unlawful content. In such cases, pro-rata refunds may be issued for unused pre-paid amounts at the Seller's discretion (excluding bad-faith terminations).
- Where force majeure prevents performance for more than thirty (30) days, either Party may terminate; amounts paid for unperformed service are refunded.
9. Force Majeure
Neither Party is liable for delay or failure in performance caused by events beyond reasonable control, including natural disasters, war, terrorism, pandemics, governmental action, infrastructure failures, and outages affecting third-party vendors (Stripe, Anthropic, Supabase, Vercel, Resend) and the public internet.
10. Notices and Service of Process
- Notices from the Seller to the Consumer are sent to the email address registered to the Consumer's account and are deemed received.
- Notices from the Consumer to the Seller may be sent by the email or postal-mail addresses listed in §1.
11. Limitation of Liability
The Seller's aggregate liability for all claims under or in connection with this Agreement is limited to the lesser of (i) the total amount the Consumer paid the Seller in the twelve (12) months preceding the event giving rise to the claim, and (ii) the Turkish Lira equivalent of one hundred (100) US Dollars; whichever is greater.
The Seller is not liable for indirect, incidental, consequential, or punitive damages, lost profits, lost revenue, lost data, or reputational damage.
These limitations do not apply to liability arising from gross negligence or wilful misconduct under Turkish Code of Obligations Article 115, or to any consumer rights that cannot be limited or waived under applicable law.
12. Special Statement Concerning AI Outputs
DataGreat's AI-powered tools (personas, briefs, crisis simulations, risk narratives) consist of narrative text generated by a large language model (Anthropic Claude) layered on top of numerical values computed by deterministic rules from verified WTTC and macro data. Numerical values are not invented by the language model; the software layer prevents the model from emitting numbers absent from the source data.
The Consumer acknowledges that AI outputs are estimates and that they should not be relied on as the sole basis for critical business, financial, medical, or legal decisions without independent verification. The Seller's liability for damages arising from reliance on AI outputs is limited to the extent set out in §11.
13. Personal Data Protection
The Consumer's personal data is processed in line with the Seller's Personal Data Processing Notice (KVKK) at https://datagreat.com/legal/kvkk and the Privacy Policy at https://datagreat.com/legal/privacy. The Consumer declares having read and accepted these documents on conclusion of this Agreement.
14. Dispute Resolution and Governing Law
In disputes arising from this Agreement:
- The Consumer may apply to the Consumer Arbitration Committee or Consumer Court of the Consumer's residence;
- Or to the Edirne Consumer Arbitration Committee or Edirne Consumer Court (the Seller's registered location).
Monetary thresholds for the Consumer Arbitration Committees are set annually by the Turkish Ministry of Trade.
For disputes between commercial parties (B2B), Turkish law applies and the Edirne Courts and Enforcement Offices shall have exclusive jurisdiction. Where the Parties so agree in writing, the dispute may instead be resolved by binding arbitration under the rules of the Istanbul Arbitration Centre (ISTAC).
15. Effect and Miscellaneous
- This Agreement consists of fifteen (15) sections and enters into force when the Consumer approves it electronically.
- A copy of the Agreement is delivered to the Consumer by email immediately after payment confirmation.
- Invalidity of any provision does not affect the validity of the others.
- In case of conflict between the Turkish and English versions, the version that operates in favour of the Consumer prevails for consumer matters; for B2B disputes, the English version controls.
